Rokt Credits For Advertisers Terms

1. Eligibility.

Subject to Advertiser satisfying the Eligibility Criteria (defined below), Advertiser shall be eligible to receive credits amounting to five percent (5%) of Advertiser’s total spend on Rokt Ads during the applicable twelve (12) month period (“Qualification Period”) commencing on February 1 and ending on January 31 (“Rokt Credits”).

In order to be eligible to receive such Rokt Credits, Advertisers must, in connection with its use of Rokt Ads:

  • (a) have spent no less than $1,000,000.00 during the applicable Qualification Period;
  • (b) have spent no less than $500,000.00 during the 12 months prior to the initial Qualification Period (the “Initial Baseline Period”); and
  • (c) have increased its spend during the applicable Qualification Period by at least 30% against its spend in the Initial Baseline Period or the immediately prior Qualification Period, as applicable;

together, the “Eligibility Criteria”. For the purposes of these Rokt Ads Credits Program Terms, Advertiser’s spend on Rokt Ads excludes ads credits, expansion matches, spend boosts or other similar incentives, as well as taxes and other non-advertising charges.

2. Issuance.

Rokt shall issue to Advertiser Rokt Credits in the amount set forth in Clause 1 above at the end of each applicable Qualification Period, and such Rokt Credits earned shall be made available for Client’s use within thirty (30) days following the end of such Qualification Period.

3. Permitted Uses.

Rokt Credits are intended to be used to drive new growth initiatives across Rokt’s suite of products. Examples include:

  • (a) new campaign types on Rokt Ads;
  • (b) new Rokt products (i.e. Pay+ or Shoppable Ads);
  • (c) fees for Rokt SaaS services;
  • (d) development and resourcing costs related to improvement, trial, or adoption of Rokt products;
  • (e) building new revenue streams via Rokt Catalog or Rokt Catalog for Brands;
  • (f) joint marketing activities;
  • (g) any other use as agreed in writing between Partner and Rokt.

Applied Rokt Credits will be reflected on the next applicable invoice as a separate line item. Amounts utilized must be calculated using a reasonableness standard.

4. Expiration & Restrictions.

Rokt Credits expire twelve (12) months after the date they are made available to Advertiser, and may not be rolled over. Any unused Rokt Credits automatically expire at such time. Rokt Credits are non-transferable, non-refundable, have no cash value, and may not be redeemed for cash or applied to previously invoiced amounts.

5. Termination or Breach.

Rokt may withhold, cancel, or deem forfeited any Rokt Credits if:

  • (a) all campaigns are paused, suspended, or terminated prior to the end of the applicable Qualification Period and before Advertiser satisfies the Eligibility Criteria;
  • (b) Client terminates its Rokt Ads  agreement (i.e. Insertion Order) (“Agreement”);
  • (c) Rokt terminates the Agreement for cause; or
  • (d) Advertiser is otherwise in breach of the Agreement.
